Dealership law · Johns Creek, Georgia

Legal counsel for car dealers, from people who ran dealerships.

We represent buyers and sellers of franchised and independent dealerships and serve as ongoing counsel to dealers. Our attorney spent more than twenty years as a dealer before practicing law, so we know how the business works from the showroom to the manufacturer agreement.

Practice areas

What we do

Most of our work is dealership transactions and the legal side of running a store. If your matter falls outside our practice, we'll tell you so and refer you to someone who handles it.

Dealership buy-sell

We represent buyers growing through acquisition and owners planning an exit, from the first letter of intent through closing.

  • Letters of intent and deal structure
  • Asset purchase and real estate purchase agreements
  • Due diligence management
  • Manufacturer approvals and dealer applications
  • Working with brokers, lenders and OEMs
  • Exit and succession planning

Dealership counsel

Day-to-day legal help for new and used dealers, ideally before a problem turns into a dispute.

  • Manufacturer and franchise agreements
  • Corporate identity and facility programs
  • Lender relations and lender liability
  • Regulatory compliance (FTC, TILA, OFAC, Safeguards Rule)
  • Employee relations and policies
  • Online reviews and defamation
  • Zoning, construction and sales tax audits

Consultative counsel

For dealers and small businesses that want a part-time in-house lawyer. We put a legal plan in place up front, on a predictable budget, so you're not calling only when something goes wrong.

  • Contract creation and review
  • Entity formation and operating agreements
  • Business and estate planning for owners
  • A known monthly cost for legal work

Transactions

How a dealership deal runs with us

Every buy-sell is different, but most follow the same path. We stay with it from the first conversation to the day the keys change hands.

  1. Letter of intent

Price, structure, real estate and key terms agreed in principle.

  2. Due diligence

Financials, facilities, franchise obligations and deadlines tracked from start to finish.

  3. Definitive agreements

Asset purchase, real estate and related agreements drafted and negotiated.

  4. Approvals and licensing

Manufacturer applications, dealer and business licenses, surety bonds and lender sign-off.

  5. Closing

Funds, documents and approvals lined up so the store opens the next day under new ownership.

Our approach

We'd rather help you avoid a legal problem than clean one up.

Most dealers call a lawyer when something has already gone wrong. We work best as an ongoing advisor: we learn how your stores run, flag issues early, and explain our fees before the work starts so there are no surprises.
